ARTICLE 8—Indemnification and Insurance
8.1. Indemnification.
To the fullest extent permitted by law, the Association shall defend, indemnify
and hold harmless any agent against any claim arising out of any alleged or
actual action or inaction in the performance of duties performed in good faith
on the Association's behalf. “Agent” for this purpose shall include
representatives, Directors, officers and employees when acting on behalf of
the Association.
8.2. Insurance.
The Association may purchase and maintain insurance to the fullest extent
permitted by law on behalf of its agents, to include the Association's obligation
to indemnify the agents in the manner specified in the preceding paragraph.
