ARTICLE 7—Committees
7.1. Committees.
The Board may create committees to which it may delegate various governance
functions. At the time it creates a committee, the Board shall issue to the
committee a specific mission statement with a definition of the committee's
authority.
7.2. Executive Committee.
The Executive Committee shall have the authority to act on behalf of the
Board between meetings of the Board, except as to those matters which the
Board withholds. The Committee shall be responsible to the Board and shall
report its actions to the Board at the next appropriate opportunity. The Committee
shall be composed of the President, the Secretary and the Treasurer.
7.3. Nominating Committee.
The President shall appoint a Nominating Committee consisting of at least
a Chair and two voting members in good standing. The Committee shall prepare
a ballot for submission to the voting membership in the form specified, to
be mailed on or before the date prescribed by the Board. The ballot shall
include the Committee's nomination of at least one candidate for each officer
position.
